1 Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the PRODOXY platform, website, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

Binding Agreement

These Terms constitute a legally binding agreement between you ("User", "Customer", "Seller") and PRODOXY Pvt. Ltd. ("PRODOXY", "we", "us", "our"). If you are using our Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

Important Notice

You must be at least 18 years old to use our Services. By using PRODOXY, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

If you do not agree to these Terms, you must not access or use our Services. Continued use of our Services after any changes to these Terms constitutes acceptance of those changes.

2 Definitions

For the purpose of these Terms, the following definitions apply:

Platform

The PRODOXY e-commerce platform, website, mobile applications, and related services.

Services

All features, tools, and functionality provided by PRODOXY to enable online store creation and management.

Seller/Store Owner

Any individual or entity that creates and operates an online store using PRODOXY.

Customer/Buyer

Any individual or entity that purchases products or services from a PRODOXY-powered store.

User Content

Any content uploaded, submitted, or created by Users on the Platform, including product listings, descriptions, and images.

Subscription Plan

The pricing plan selected by a Seller to access PRODOXY Services.

3 Account Terms

3.1 Account Creation

To use PRODOXY Services, you must create an account by providing accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Promptly updating your account information when necessary
  • Ensuring your account information remains accurate and complete

3.2 Account Security

You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Restrictions

  • You may not create multiple accounts to circumvent platform restrictions
  • You may not use another User's account without permission
  • You may not transfer your account to another party without our written consent
  • Accounts must represent real individuals or legitimate businesses

4 Subscription Terms

4.1 Subscription Plans

PRODOXY offers various subscription plans with different features and pricing. You can upgrade, downgrade, or cancel your subscription at any time through your account dashboard.

4.2 Billing and Payments

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are exclusive of taxes, which you are responsible for paying
  • Payment is processed through our third-party payment processors
  • Failed payments may result in service suspension

4.3 Free Trial

14-Day Free Trial

New Users may receive a 14-day free trial of selected PRODOXY features. At the end of the trial period, your subscription will automatically convert to the selected paid plan unless cancelled before the trial ends.

4.4 Price Changes

We may change subscription fees at any time. We will provide at least 30 days' notice for any price changes. Continued use of the Services after price changes constitutes acceptance of the new pricing.

5 User Content

5.1 Content Ownership

You retain ownership of all User Content you upload to the Platform. However, by submitting User Content, you grant PRODOXY a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of providing our Services.

5.2 Content Responsibility

You are solely responsible for all User Content you upload, including:

  • Ensuring content does not violate any laws or third-party rights
  • Obtaining necessary permissions for copyrighted material
  • Ensuring product descriptions are accurate and not misleading
  • Complying with all applicable regulations for your products

5.3 Prohibited Content

You may not upload content that:

  • Is illegal, obscene, or defamatory
  • Infringes intellectual property rights
  • Contains viruses or malicious code
  • Promotes violence, hate speech, or discrimination
  • Contains false or misleading information

5.4 Content Removal

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable. We may also suspend or terminate accounts for repeated violations.

6 Intellectual Property

6.1 PRODOXY IP

All intellectual property rights in the PRODOXY platform, including software, designs, trademarks, and documentation, are owned by or licensed to PRODOXY. You are granted a limited, non-exclusive, non-transferable license to use our Services in accordance with these Terms.

6.2 Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble our software
  • Copy, modify, or create derivative works of our platform
  • Use our trademarks without written permission
  • Remove any proprietary notices from our materials

6.3 Feedback

Any feedback, suggestions, or ideas you provide regarding our Services may be used by PRODOXY without any obligation to you.

7 Prohibited Activities

You agree not to use the PRODOXY platform for any unlawful or prohibited activities, including but not limited to:

Illegal Activities

  • • Money laundering or fraud
  • • Violating export control laws

Platform Abuse

  • • Spamming or phishing
  • • Distributing malware
  • • Hacking or unauthorized access

IP Violations

Unfair Competition

  • • Price fixing
  • • False advertising
  • • Deceptive practices

8 Third-Party Services

PRODOXY may integrate with or provide links to third-party services, including:

Payment Processors

Razorpay, Stripe, PayPal

Shipping Providers

Shipping carriers and logistics

Analytics

Google Analytics, Facebook Pixel

Important Disclaimer

Third-party services are governed by their own terms and privacy policies. We are not responsible for the actions, content, or policies of third parties. You use third-party services at your own risk.

9 Termination

9.1 By You

You may terminate your account at any time by contacting support or using the cancellation feature in your account dashboard. Termination will be effective at the end of your current billing cycle.

9.2 By PRODOXY

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • We suspect fraudulent or illegal activity
  • Required by law or legal process
  • For non-payment of fees

9.3 Effect of Termination

  • Your right to use the Services immediately ceases
  • All fees paid are non-refundable (except as per Refund Policy)
  • We may delete your data after 90 days
  • You remain liable for any outstanding fees

11 Limitation of Liability

Exceptions

Some jurisdictions do not allow limitations of liability, so the above limitations may not apply to you. Nothing in these Terms limits or excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be limited by law

12 Indemnification

You agree to indemnify, defend, and hold harmless PRODOXY and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, including reasonable attorneys' fees, arising from:

  • Your use of and access to the Services
  • Your violation of these Terms
  • Your violation of any third-party right, including intellectual property rights
  • Any claim that your User Content caused damage to a third party
  • Your conduct in connection with the Services

13 Governing Law & Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Mandatory Arbitration

Any dispute arising from or relating to these Terms shall be resolved through binding arbitration in India, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions, class arbitrations, or representative actions.

14 Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

Displaying a notice within the PRODOXY platform

Continuing to Use Services

Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using our Services.
